Product-Specific Terms & Conditions
These Product-Specific Terms and Conditions (“Product-Specific Terms”) set out additional terms that apply to your use of CADdetails and Prodify, respectively. These Product-Specific Terms supplement, and are incorporated by reference into, the General Terms of Use, and are also incorporated by reference into your Order Form. If there is a conflict between the General Terms of Use and these Product-Specific Terms, these Product-Specific Terms will control with respect to the relevant Service, as provided in the General Terms of Use.
Capitalized terms used in these Product-Specific Terms and not defined here have the meanings given to them in the General Terms of Use.
CADdetails
For manufacturer Clients, CADdetails is the platform for publishing manufacturer-approved CAD, BIM, 3D models, specs, and brochures to architecture, engineering, and construction (“AEC”) professionals and other specifiers who make product decisions, giving Clients visibility into specifier engagement with their content. Prodify Core is included with CADdetails subscriptions and is governed by the Prodify section of these Terms. CADdetails Clients may also participate in supporting programs, such as the Technical Member Program (governed by Section 4 below and the Technical Member Program Schedule, available at www.tryprodify.com/tmp-schedule), advertising opportunities, and AEC Tools and Spec Builder Pro, both accessible via the Prodify platform.
The specific features and services associated with your CADdetails package are described on the CADdetails Products and Services page available at services.caddetails.com/products-and-services, as updated from time to time. Such updates will not materially reduce the core functionality of the Service purchased by Client during its Subscription Service Term.
Our Site (meaning, for purposes of this CADdetails section, the CADdetails website and any Design Hub portal) and Services enable Registered Visitors and Visitors to access information relating to the installation of manufactured building products for a specific project or to supplement their in-house personal design library. We are committed to providing Registered Visitors accurate, up-to-date, manufacturer-approved drawings, 3D models, product brochures and specifications, at no cost. These terms apply to your use of CADdetails.
1. Definitions
Unless otherwise specified, the capitalized terms used below shall have the meanings set forth in this section.
“CADdetails Generic Library” refers to content that is available within the CADdetails Network that is not branded to a specific company.
“Analytics Offerings Content” means Content that is created by the program algorithm and made available on the Site to the Client to generally describe Registered Visitor activity on the site.
“Registered Visitor” is a Visitor that has filled out the registration form on the CADdetails website or a branded portal within the Visions NETWORK. Registered Visitors are then tagged with their preferences, based on their activity, and included in Analytics Offering Content. The information entered by Registered Visitors is not validated and should not be considered accurate.
“Registered Visitor Content” includes registration information that Registered Visitors submit, post, or transmit to the Site.
“Participating Manufacturer(s)” means a Client whose products are published, represented, or otherwise made available through the CADdetails Network for specification by Registered Visitors.
“Public Content” includes information that you submit or post to the Site for public display, such as information that you display as part of your public profile or any other social or public submission areas that the Site might make optionally available for you in the future.
“Source Materials” means the files, drawings, specifications, product data (including dimensions, performance data, finish, and materials), test reports, images, renderings, and other information Client provides to Visions, whether in written form or given verbally on a call or in an email thread, for use in producing Deliverables under the Technical Member Program.
2. Registered Visitors
2.1 The confidential information made available pursuant to these Terms is provided to Visions clients' specified contact person on an "as is" basis to allow Participating Manufacturers to inform Registered Visitors if there is an important change to a product or specification that the Registered Visitor should be made aware of. For this reason, our Analytics Offerings Content may also include Registered Visitors that may have had exposure to products from related non-tracked services. In addition, we may collect data from your use of the Services, on an aggregated and anonymized basis, for the purposes of improving our Services.
2.2 You agree to notify Visions immediately of any errors or omissions you notice in the Site Content.
2.3 The information pertaining to impressions, clicks, views, searches and downloads is collected from most Registered Visitors and may be included in Analytics Offerings Content made available to you. Some information may be estimated, and some related user engagement may be included in the Analytics Offerings Content that meet certain criteria. The Analytics Offerings Content may include users who download content from the CADdetails Generic Library.
2.4 Analytics Offerings Content may be modified to exclude bots, profanity, and non-relevant, determined at the sole discretion of CADdetails.
2.5 We do not control the information provided by Registered Visitors which is made available through our system. Registered Visitors may alter their data at any time, including by adding, deleting or changing their corporate information. You may find Registered Visitor information in the Analytics Offering Content to be offensive, harmful, inaccurate, or deceptive. Please use caution and common sense when using the data. Please note that there are also risks of dealing with international trade and foreign nationals. By using the Site, you agree to accept such risks and that Visions is not responsible for the facts or omissions of Registered Visitors information made available to you.
2.6 Our Registered Visitors are made aware that we share metrics with our Participating Manufacturers as part of their overall participation.
2.7 The information accessed through the Site is provided free of charge for the purpose of helping Registered Visitors and Visitors specify and install Participating Manufacturers’ products only.
3. Additional Restrictions on Use
You agree that you will not, directly or indirectly, use the Site or any Service to transmit or post spam, chain letters, contests, junk email, pyramid schemes, surveys, or other messaging to Registered Visitors contained in your reports, whether commercial in nature or not.
4. Ownership
4.1 Visions retains all rights, title, and interest in and to its pre-existing proprietary materials, software, tools, templates, methodologies, and know-how, including its base families, parametric logic, naming and classification conventions, assessment rubrics, and scoring models (“Visions Materials”). No rights to Visions Materials are transferred to Client except as incorporated into the Deliverables, and Visions may reuse and redeploy Visions Materials across its client base.
4.2 All files, content, and other deliverables produced, processed, or modified for Client under the Technical Member Program, including CAD drawings, BIM/Revit families, 3D models, specifications, and related technical files (“Deliverables”), shall, upon delivery and subject to full payment of applicable fees, be owned exclusively by Client. Visions hereby assigns to Client all rights, title, and interest in and to such Deliverables, excluding Visions Materials.
4.3 Unless otherwise specified in the Order Form, any Technical Service Hours included in Client's CADdetails or Prodify subscription expire at the end of the Subscription Service Term in which they are issued; unused included hours do not carry forward, do not convert to credit, and have no cash value. Technical Service Hours purchased separately from Client's included allotment remain available until the end of the following Subscription Service Term, provided Client's subscription remains active; purchased hours are forfeited on non-renewal, cancellation, or termination, and have no cash value on expiry. Included hours are consumed before purchased hours in any term. This applies regardless of whether Technical Service Hours are purchased under a CADdetails or a Prodify Order Form.
4.4 Technical Service Hours are consumed by production work performed under the Technical Member Program, including assessment, coordination, production, revision, review, and technical consultation, and are recorded against scheduled work and reported to Client on request. Time spent correcting or rebuilding Deliverables as a result of incomplete, inaccurate, or superseded Source Materials is charged against available Technical Service Hours.
4.5 Deliverables include two rounds of revision arising from a production error by Visions, at no charge against Client's Technical Service Hours. Revisions arising from changed Client requirements, changed Source Materials, or feedback provided after Client's acceptance of a Deliverable are charged against available Technical Service Hours.
4.6 Visions will treat Client's Source Materials and any other non-public information Client provides in connection with the Technical Member Program with at least the same degree of care Visions uses to protect its own confidential information of a similar nature, but in any event no less than reasonable care, and will not use or disclose such information other than to perform the Services. This obligation does not apply to information that is public, independently developed by Visions, or lawfully received from a third party without restriction.
5. Support Services
CADdetails subscriptions include access to Visions’ pooled support team. Visions targets a first response to support requests submitted through Visions’ designated support channel(s) within 48 business hours, Monday through Friday, Eastern Time, excluding statutory holidays. This target applies to first response only, not to resolution time; does not apply during scheduled maintenance or events outside Visions’ reasonable control; and may be adjusted by Visions from time to time. This is a service target, not a service level agreement: it is not backed by service credits or other remedies, and failure to meet it does not, on its own, constitute a breach of these Terms.
Prodify
Prodify is an account-based software-as-a-service (SaaS) platform designed for building product manufacturers (“BPMs”) to manage, organize, and distribute their digital product information. The platform combines digital asset management (“DAM”) and product information management (“PIM”) capabilities with user access controls, analytics, and collaboration features. Prodify enables BPMs to centralize files, technical data, and marketing content, and to securely share this information with internal teams, external partners, third-party integrations, and prospective clients. The platform is available in multiple subscription tiers, each offering different feature sets and billing models.
The specific features and limits associated with each subscription tier as well as any add-ons are described on the Services Description Page available at www.tryprodify.com/services, as updated from time to time. Such updates will not materially reduce the core functionality of the Service purchased by Client during its Subscription Service Term.
Where Prodify Core is made available to Client as part of a CADdetails subscription (including through the Prodify Portal), these Prodify-specific terms govern Client’s use of Prodify Core, whether or not Client holds a separate Prodify Order Form. The Product Family and Project allowances available to Client within Prodify Core will reflect Client’s CADdetails package, including any additional Product Families or Projects purchased as CADdetails add-ons. Prodify Core does not include the additional storage, users, sharing capabilities, or other functionality available under paid Prodify subscription tiers; those are available only by upgrading to a paid Prodify plan.
These terms apply to your access and use of the Prodify platform in addition to the General Terms of Use. Capitalized terms not defined here have the meanings set out in the Terms.
1. Access by Third Parties
Prodify allows you to share Your Content (e.g., files, products, product families, projects, collections, etc.) through links or emails with selected external recipients without requiring them to create an account. You acknowledge that sharing Your Content externally via link or email-based access is done at your sole risk. Visions is not responsible for any unauthorized access, use, retention, or disclosure of Your Content shared externally.
2. Security
We maintain commercially reasonable security measures to protect Your Content and have security policies in place to do so. You remain responsible for any sensitive information, including any personal information uploaded to Prodify.
3. Content
3.1 You are solely responsible for maintaining and backing up all Content that you upload, store, or otherwise process through the Services. Visions does not provide backup or restoration services for Content and will have no liability for any loss, corruption, or deletion of Content. You acknowledge that you are responsible for implementing appropriate measures to secure and back up Your Content outside of the Services.
3.2 You acknowledge and agree that Visions may extract, enrich, or transform metadata from uploaded files to support search, categorization, analytics, and other platform features.
4. AEC Tools
Prodify provides self-serve access to certain automated analysis tools (“AEC Tools”), such as the CAD Analyzer and Spec Analyzer, as further described on the Prodify Services Description Page. AEC Tools use automated and AI-assisted analysis and are provided for informational purposes only; their output does not constitute professional advice, a certification, or a warranty of accuracy, completeness, or code compliance, and Client remains solely responsible for reviewing and verifying any output before relying on it. Visions may modify, limit, or discontinue AEC Tools at any time, including to prevent misuse.
5. Spec Builder Pro
5.1 Prodify provides access to Spec Builder Pro, a paid, self-serve tool that uses Client’s existing product assets and other information Client provides to generate written AEC specifications and related output (“Spec Builder Output”), as further described on the Prodify Services Description Page and the CADdetails Products and Services page. Spec Builder Pro is provided at no additional charge to Clients enrolled in the Technical Member Program, including CADdetails Clients who access the Technical Member Program through their CADdetails package.
5.2 Spec Builder Output is generated based on, and its accuracy depends on, the completeness and accuracy of the product data, specifications, and other information Client provides or makes available for this purpose. Visions does not independently verify Spec Builder Output against Client’s actual products or against applicable building codes, standards, or project requirements.
5.3 Spec Builder Output is provided for Client’s convenience and does not constitute professional advice, a certification, or a warranty of accuracy, completeness, or code compliance. Client remains solely responsible for reviewing, verifying, and approving Spec Builder Output before using, publishing, or relying on it in any project. Visions may modify, limit, or discontinue Spec Builder Pro at any time, including to prevent misuse.
5.4 Subject to Client’s full payment of any applicable fees, Spec Builder Output generated for Client is owned by Client upon generation. Visions retains all rights, title, and interest in the underlying Spec Builder Pro software, templates, and logic used to generate it, which constitute Visions Materials, and no rights to Visions Materials are transferred to Client except as incorporated into the Spec Builder Output.
6. Support Services
6.1 Prodify Essentials and Prodify Pro subscriptions include access to Visions’ pooled support team. Visions targets a first response to support requests submitted through Visions’ designated support channel(s) within 48 business hours, Monday through Friday, Eastern Time, excluding statutory holidays. This target applies to first response only, not to resolution time; does not apply during scheduled maintenance or events outside Visions’ reasonable control; and may be adjusted by Visions from time to time. This is a service target, not a service level agreement: it is not backed by service credits or other remedies, and failure to meet it does not, on its own, constitute a breach of these Terms.
6.2 The in-platform knowledge base and AI assistant are available to all Clients, including under Prodify Core, on a self-serve basis with no response-time target.
6.3 Support for Prodify Core is provided according to Client’s underlying CADdetails package, as described on the CADdetails Products and Services page.
7. Free Trial
Visions does not currently offer a free trial of the Services. To the extent Visions makes a free trial available at any time in the future, the following terms will apply:
7.1 If you register for a free trial of the Services, Visions will make the Services available to you on a trial basis free of charge until the earlier of (a) the end of the thirty (30) day trial period, (b) any extension of the trial period granted by Visions in its sole discretion, or (c) the start date of any paid subscription. Trials are provided for evaluation purposes only, and may be modified or terminated by Visions at any time without notice.
7.2 At the end of the trial, your access to the Services will automatically terminate unless you purchase a subscription. Any data entered into the Services during the trial may be permanently lost unless you purchase a subscription before the trial ends. Visions may, but is not obligated to, retain or provide you with a copy of trial data after expiration.
7.3 Trials are provided “AS IS” without warranties of any kind, service levels, or support commitments. To the maximum extent permitted by law, Visions shall have no liability arising out of or related to any trial.
7.4 During the trial, you remain responsible for all obligations set out in these Terms, including responsibility for the legality and accuracy of Your Content submitted to the Services and compliance with applicable laws. You retain ownership of Your Content submitted during the trial, and grants Visions the rights necessary to host, process, and analyze such Content in accordance with these Terms.
7.5 By participating in a trial, you acknowledge and agree that Visions’ Privacy Policy applies to the collection and processing of personal information during the trial.
8. Additional Terms
8.1 You agree not to use the Services in a manner that places an excessive or unreasonable load on our systems, infrastructure, or networks, or otherwise interferes with our ability to provide the Services to other users. Without limiting the foregoing, use that materially exceeds what is reasonably contemplated for your Service tier or plan and negatively impacts system performance, stability, or availability may be deemed excessive. Visions may, acting reasonably, monitor usage and impose technical limits or restrictions, including throttling, suspension, or temporary downgrade, to preserve system integrity. Visions will use commercially reasonable efforts to provide advance notice, unless immediate action is required.
8.2 If you exceed the commercial limits of your plan (e.g., number of users, product families, projects, storage, or credits), additional fees may apply as set out on the Pricing Page (www.tryprodify.com/pricing) or Order Form. Visions may automatically adjust billing to the appropriate tier or add-on package. Commercial overages under this section 8.2 are distinct from technical limits or restrictions under section 8.1, and do not restrict Visions’ right to take actions to protect system performance.
8.3 Technical File Visualizer Credits. Unless otherwise specified in the Order Form, any Technical File Visualizer credits included in Client's subscription that are unused at the end of a Subscription Service Term expire and do not carry over to the following term. Additional Technical File Visualizer credits purchased separately from Client's included allotment are available for use for twelve (12) months from the date of purchase, after which they expire on the same basis. Technical Service Hours are addressed in Section 4.3 of the CADdetails section above, regardless of whether purchased under a CADdetails or a Prodify Order Form.
